How to Read the Proxy Voting Record |

In this section, you will find the Proxy Voting Record for securities held by the Altamira Funds. Shareholders may only exercise voting rights if they held shares on the record date of the shareholder meeting. Although a Fund may have held a security at some point during the reporting period, it could only exercise voting rights at a shareholder meeting if it held the security on the record date of the meeting.

How to Read the Proxy Voting Record

The Proxy Voting Record is an alphabetical listing of companies that held shareholder votes during the reporting period. Please note that the proxy voting records are currently available in English only.

Mtg Date/Type:

Meeting date, and whether the meeting was an annual (A) or special (S) meeting of the shareholders

Company/Ballot Issues:

Companies are identified by name and ticker symbol; the Record includes a summary of each issue for which a vote could be cast

Security:

The CUSIP number of the voting security is listed; each security is uniquely identified by a central system

Mgmt Rec:

If management of the company proposed the issue, then it will normally recommend that shareholders vote in favour, or For, the issue; in some instances, voting issues are proposed by a shareholder rather than management, and management may recommend that other shareholders not support such proposals, or vote Against

Vote Cast:

This column indicates how a Fund voted on each issue

For, means the votes were cast in favour of the issue

Against, means the votes were cast against the issue

Generally, for Canadian companies, shareholders may only vote for or withhold from voting on the issues of the election of directors and appointment of auditors; an indication of a Split vote, will also show whether votes were cast for (For) or withheld from (Withhold) each director candidate

In very limited circumstances, Altamira Investment Services, on behalf of a Fund, may give instructions to its proxy administrator not to vote on an issue (Do Not Vote)

Record Date:

The record date is a date preceding the shareholder meeting, prescribed either by operation of law or by notice sent by the company; shareholders owning shares of the company on the record date are entitled to vote at the meeting

Prpnent:

Proponent means the person or company who proposed the issue; generally a voting issue is proposed either by management (Mgmt) or by a shareholder (ShrHoldr)
